Ṣọ Email Security Referral Program Terms and Conditions

These Referral Program Terms and Conditions ("Referral Terms") govern participation in the Ṣọ Email Security Referral Program ("Program"). By participating in the Program, you agree to be bound by these Referral Terms in addition to the Ṣọ Email Security Terms of Service and Privacy Policy.

1. Eligibility

To participate in the Program, you must:

  1. Be at least 18 years of age
  2. Have an active Ṣọ Email Security Premium subscription OR be a Team owner on a Team plan (Team members who are not the owner are not eligible)
  3. Have a valid Wise account for receiving referral rewards
  4. Not be a current or former employee of Ṣọ Email Security or its affiliates

2. How the Program Works

2.1. Each eligible participant ("Referrer") receives a unique referral link accessible from their Ṣọ dashboard.

2.2. When a new user ("Referred User") clicks the referral link and completes registration for a paid Premium or Team subscription, the referral is tracked and attributed to the Referrer.

2.3. The Referred User must be a new customer who has not previously held a paid Ṣọ Email Security account.

2.4. Referrals are tracked using URL parameters throughout the signup flow. The referral code must be present at the time of payment for the referral to be attributed.

3. Referral Rewards

3.1. Referrers earn a one-time cash reward for each Qualified Referral based on the plan type:

  • Premium Monthly: $2.00 USD
  • Premium Yearly: $25.00 USD
  • Team Monthly: $2.00 USD per seat
  • Team Yearly: $25.00 USD per seat

3.2. A "Qualified Referral" is a Referred User who: (a) signs up using the Referrer's unique referral link, (b) completes the 7-day free trial and makes their first payment for a Premium or Team plan via Stripe (our primary payment method), (c) completes account activation by connecting their email account, and (d) maintains an active subscription through the Qualification Period (35 days for monthly plans, 30 days for yearly plans, starting from the date of first payment). Users who cancel during the free trial do not generate a referral. Note: Commissions are only earned when the Referred User pays via Stripe. Payments made through alternative payment methods do not qualify for referral rewards.

3.3. For Team plan referrals, the reward is calculated based on the number of seats at the time of initial subscription. If the Referred User adds seats after the Qualification Period, no additional reward is paid for those seats.

3.4. Rewards are one-time payments only. Referrers do not receive recurring commissions when the Referred User renews their subscription. Each Referred User generates a single reward payment.

3.5. Rewards become payable after the Referred User completes the Qualification Period.

3.6. There is no limit to the number of Qualified Referrals a Referrer may earn rewards for, subject to our fraud prevention policies.

3.7. Coupons and Discounts: Rewards are calculated based on the standard plan price, regardless of any discounts or promotional codes used by the Referred User. However, a referral record is only created when the Referred User makes their first payment greater than $0. If a coupon provides a 100% discount on the first payment period, the Qualification Period begins from the first paid invoice.

4. Payment

4.1. Rewards are calculated on the first day of each month for Qualified Referrals from the preceding month.

4.2. Payment is issued within 15 business days of calculation via Wise to the email address provided by the Referrer.

4.3. Minimum payout threshold is $2.00 USD. Rewards below this threshold will roll over to the following month.

4.4. Referrers are responsible for any applicable taxes on rewards received. Ṣọ Email Security may require tax documentation (such as W-9 or W-8BEN forms) before processing payments exceeding $600 USD in a calendar year.

5. Clawback and Forfeiture

5.1. Rewards may be forfeited or clawed back if: (a) the Referred User cancels their subscription within 60 days of signup, (b) the Referred User requests and receives a refund, (c) the Referred User's payment is charged back or disputed, (d) the referral is determined to be fraudulent or in violation of these terms, or (e) the Referrer's account is terminated for any reason.

5.2. Clawback amounts will be deducted from future reward payments. If no future payments are due, Ṣọ Email Security reserves the right to invoice the Referrer for the clawback amount.

6. Prohibited Activities

The following activities are strictly prohibited and may result in immediate termination from the Program and forfeiture of all rewards:

  1. Self-referrals or referring accounts you own or control
  2. Creating fake accounts or using false identities
  3. Spam, unsolicited messaging, or any form of harassment
  4. Misrepresenting your relationship with Ṣọ Email Security
  5. Using paid advertising that includes Ṣọ trademarks without written permission
  6. Bidding on branded search terms or using misleading advertising
  7. Any activity that violates applicable laws or regulations
  8. Incentivizing signups with cash, gifts, or other consideration

7. Program Modifications and Termination

7.1. Ṣọ Email Security reserves the right to modify, suspend, or terminate the Program at any time, with or without notice.

7.2. Ṣọ Email Security may modify the reward amount, qualification criteria, or any other aspect of the Program at its sole discretion.

7.3. In the event of Program termination, Referrers will receive rewards for Qualified Referrals that completed the Qualification Period prior to termination.

7.4. Ṣọ Email Security may terminate a Referrer's participation in the Program at any time for any reason, including suspected fraud or violation of these terms.

8. Intellectual Property

8.1. Referrers may use Ṣọ Email Security's name and logo solely for the purpose of promoting the Program, subject to our brand guidelines.

8.2. Referrers may not modify, alter, or create derivative works from Ṣọ Email Security's trademarks or copyrighted materials.

8.3. All intellectual property rights in the Ṣọ Email Security platform, brand, and materials remain the exclusive property of Ṣọ Email Security.

9. Limitation of Liability

9.1. THE PROGRAM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. ṢỌ EMAIL SECURITY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

9.2. IN NO EVENT SHALL ṢỌ EMAIL SECURITY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE PROGRAM.

9.3. ṢỌ EMAIL SECURITY'S TOTAL LIABILITY UNDER THE PROGRAM SHALL NOT EXCEED THE TOTAL REWARDS PAID TO THE REFERRER IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. General Provisions

10.1. These Referral Terms constitute the entire agreement between the parties regarding the Program and supersede all prior agreements and understandings.

10.2. These Referral Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.

10.3. If any provision of these Referral Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

10.4. Ṣọ Email Security's failure to enforce any right or provision of these Referral Terms shall not constitute a waiver of such right or provision.
